There is no need to have local directors or shareholders to form your offshore company in St. Kitts & Nevis. A company must have at least one director, but it can be yourself, irrespective of your country of citizenship, origin, or residence. This means that you can establish a St. Kitts & Nevis company with directors and shareholders who are not residents of St. Kitts and Nevis. Is a physical office in St. Kitts & Nevis mandatory for incorporation?

A registered address in St. Kitts & Nevis is required to form a company. It is mandatory to incorporate a company in St. Kitts & Nevis. It is a legal requirement and without it, we cannot proceed to file the documents with the registrar for your company's incorporation.

What are the requirements to maintain a St. Kitts & Nevis company?

Your company in Nevis should have at least one director and one shareholder.

You are required to have a local registered agent in Nevis, and the registered office address of the company should also be the registered address of the agent. The registered agent is responsible for maintaining Know Your Customer (KYC) information on behalf of the company. This is crucial for compliance with Anti-Money Laundering (AML) and Countering the Financing of Terrorism (CFT) regulations.

Offshore companies in St. Kitts and Nevis are not mandated to file annual returns. Companies operating in Nevis are obligated to maintain financial records for a minimum of five years. While there's no specific requirement for where you should keep your financial records, they can be maintained anywhere.

Are there any taxes in St. Kitts & Nevis? Do I have to pay any taxes under my offshore company in St. Kitts & Nevis?

The Business Corporate Ordinance Amendment 2018 has erased the tax exemption regime for non-resident companies.

A non-resident company is tax-exempt for all incomes derived outside of the country. A resident company for tax purposes, is subject to a flat corporate profits tax of 33% on worldwide income.
