Situation 1: If the Holding entity is an Individual(s)
Part A: Proof of Identity
Now, let's go through the set of documents that one needs to provide for their BVI company's incorporation. In the very first situation, if your BVI company is owned by an individual or group of individuals, then you will need to provide proof of identity documents as well as proof of address documents for all the directors and shareholders.
Under proof of identity, a scanned copy of the certified true copy of the passport is required. A certified true copy is a copy of a document that is stamped and signed as a true copy of the original by a person, such as a notary public, lawyer, or commissioner, who is allowed to make declarations. In addition to this, you will also need to provide a comprehensive curriculum vitae (C.V.), résumé, or LinkedIn profile. Please note that these two documents must be provided for every director and shareholder of your BVI company.
Part B: Proof of Address
Under proof of address, you will need to provide one of the scanned copies of a bank reference, bank statement, utility bill, or driver's license. This document must be the latest and not older than 2 months. This document should clearly show the holder's full name along with a physical address written in English. P.O. Box addresses in these documents are not accepted. Just like proof of identity documents, this proof of address document must be provided for every director and shareholder. That's everything you need if your BVI company is to be held by individuals or a group of individuals. But what if your BVI company is to be held by an organization or entity? Situation 2: If the Holding entity is an Organization(s)
Part A: Company Documents
You will need to provide the following documents for the holding company: a certificate of incorporation, a memorandum and articles of association or constitution, a register of directors, a register of shareholders or ultimate beneficial owners, and an extract of the company’s details from the Registrar of Companies, which can include any of the details relating to your holding company, such as a business profile, a certificate of incorporation, or a certificate of good standing. If any of these documents have validity, then they have to be valid for 6 months.
Part B: Members’ Documents
In addition to these company documents, all members of the corporation, including directors, shareholders, ultimate beneficial owners (UBOs), and contact persons, must provide identity and address proofs, as we discussed in detail previously.
